Scope of Responsibility
Team and manage projects involving cross border inbound and outbound investment projects, mergers and acquisitions, client and company operational and commercial issues.
Utilize knowledge and experience of PRC business and laws to assist in structuring international business transactions by foreign companies or investors, including but not limited to structuring WFOEs, FICEs and joint ventures investments.
Negotiate, review and draft complex commercial business contracts, joint venture agreements, merger agreements, and assets or equity purchase and sale agreements, and other commercial contracts.
Draft contracts and memos in both Chinese and in English.
Research, analyze and provide consulting services on PRC governmental regulations and commercial activities.
Make inquiries to Chinese government officials on related work.
Conduct and manage due diligence review of Chinese companies that are targets for foreign acquisitions or investments.
Essential Qualifications
Bachelor or Master Degrees in Law.
PRC bar.
At least three years of related work experience with comparable scope of responsibilities.
Work experience with international firms or companies or extensive work experience in international transactions highly desirable.
Good command of written and spoken Chinese and English skills.
Ability to draft Chinese contracts and Chinese and English memos.
Excellent contract drafting skills.
In-depth working knowledge of China foreign direct investment laws, company laws, labor laws, anti-monopoly laws, corporate governance practices of Chinese companies, and PRC laws in the areas of non-compete, corporate confidentiality, anti-corruption and bribery.
Knowledge of PRC tax and intellectual property laws. Experience in international business transactions involving the above areas required.
Knowledge and experience of IPO, security laws, and RMB funds.
Excellent leadership and team work skills.
Ability to take initiative to propose step-by-step plans for organizing, facilitating, and completing projects.
Responsible self-starter with strong ability to execute, follow up on and complete plans on own initiative without prompting from others.
Good judgment and common sense with high sense of professionalism and teamwork.
Excellent communication, people management and project management skills.
Able to work in fast-paced environment, under pressure and tight schedules.
Able to provide creative solutions to enhance productivity, efficiency and effectiveness of business.
